1. Services Overview

TALC AI provides AI-powered media systems including personal brand systems, AI cloning, content production, and distribution across social platforms. Services are offered in three pricing tiers: Full Pay, Split Pay (2×), and Monthly (3×).

2. Eligibility & Application

  • You must be 18+ to use our Services
  • You must complete our application form and be approved by TALC AI
  • We reserve the right to decline applications
  • Once approved, we will email you a booking link to schedule your initial consultation

3. Payment Terms

3.1 Pricing Tiers

  • Full Pay: Full amount due upfront before work begins
  • Split Pay: 50% deposit to secure your seat; 50% due before production starts
  • Monthly: Paid monthly via recurring invoice (3 monthly payments)

3.2 Payment Method

Payments are processed by third-party payment processors. We accept credit cards and bank transfers. You are responsible for ensuring payment information is accurate and complete.

3.3 Refunds

  • If you cancel before your Clone Session, we refund your deposit minus a 10% administrative fee
  • If you cancel after the Clone Session or after production has begun, no refund is offered
  • Refund requests must be submitted via email to hello@talcai.io

4. The 90-Day Clock

The 90-day production period begins only after:

  1. Your Clone Session is completed, AND
  2. Our team confirms production is live on your social platforms

The clock does not begin at signup or payment. This ensures you receive the full 90-day benefit of daily content.

5. Service Delivery & Performance

5.1 Clone Session

  • One in-person or remote video session to capture your likeness, voice, and messaging direction
  • Duration: 2–4 hours
  • Conducted by TALC AI team
  • You are responsible for providing clear direction on brand voice, content style, and preferred topics

5.2 Daily Content Production (90 Reels / 90 Days)

  • One original reel produced daily for 90 consecutive days
  • Reels are published on your behalf across Instagram, YouTube, and TikTok
  • We do not seek your approval before publishing — the system operates autonomously once production is live
  • You have read-only access to our dashboard to view daily output

5.3 Weekly Strategy Reviews

  • Live weekly review calls with the TALC AI team
  • Review performance, adjust strategy, discuss upcoming content themes
  • Publishing never waits on your approval; reviews are advisory only

5.4 Engagement Management

  • Included with all pricing tiers
  • Includes monitoring of comments, DMs, and community interactions
  • We provide recommendations for replies and engagement tactics
  • You execute the engagement on your own accounts

5.5 Performance Tracking

  • Dashboard access to view follower growth, engagement rate, reach, and impressions
  • Weekly performance reports
  • Monthly deep-dive analytics calls

6. Output Guarantee

If you do not receive 90 reels in 90 days, TALC AI will continue producing reels free of charge until you have exactly 90 reels published across your platforms. This guarantee applies if delays are caused by TALC AI; it does not apply if delays result from platform outages, account suspensions, or third-party issues beyond our control.

7. Your Responsibilities & Consent

7.1 Content Direction

You agree to provide clear direction on:

  • Brand voice and messaging
  • Topics and themes to cover
  • Platforms and content preferences
  • Any sensitive topics to avoid

7.2 Account Access

You grant TALC AI access to your Instagram, YouTube, and TikTok accounts via OAuth authentication. You may revoke access at any time by removing our integration from your account settings.

7.3 Account Management

  • You remain the owner of your accounts
  • You may publish additional content outside of our service; we coordinate to avoid duplication
  • You are responsible for complying with each platform's terms of service
  • We do not manage account settings, bios, or profile images unless explicitly requested

7.4 Copyright & Content Rights

  • You warrant that you own the rights to all content you provide (including images, audio, and video)
  • You grant TALC AI a worldwide, royalty-free license to use this content in the creation of AI clones and daily reels
  • You indemnify TALC AI against claims that your content infringes third-party rights

7.5 AI Clone Consent — CRITICAL

You explicitly consent to:

  • The creation of an AI video clone using your likeness
  • The creation of an AI voice clone using your voice recordings
  • The use of these clones to produce and distribute daily content
  • Storage of your likeness and voice data in our systems
  • The clones appearing on your social platforms as daily posts

See Privacy Policy Section 5 for data retention and your rights regarding AI clone deletion.

8. AI Disclaimers & Limitations

8.1 AI Model Limitations

  • AI-generated content is produced by machine learning models, which can produce unexpected, inaccurate, or off-brand outputs
  • We make commercially reasonable efforts to ensure quality, but we do not guarantee error-free content
  • Some reels may require editing or re-shooting
  • We will re-produce a reel at no extra cost if it fails to meet basic quality standards (unintelligible audio, severe visual artifacts, completely off-brand messaging)

8.2 No Warranty on Engagement or Virality

  • We do not guarantee follower growth, engagement rate, or viral reach
  • Results depend on your niche, audience, content quality, and platform algorithms
  • The system is designed for authority-building and lead generation, not guaranteed viral performance

8.3 Platform Changes

  • We are not liable if Instagram, YouTube, or TikTok change their APIs, alter algorithm behavior, or remove features we rely on
  • If a platform becomes unavailable, we will pause service and credit you prorated months

9. Renewal & Additional Services

9.1 Renewal

At the end of 90 days, you may renew for another 90-day cycle at the same pricing tier. We will contact you 14 days before expiration with renewal options.

9.2 Additional Clone Sessions

If we recommend a new Clone Session (e.g., after a major rebrand or at year 2+), it is charged separately and not included in your annual service cost.

9.3 Additional Services

  • Corporate AI Training, Ads Management, AI Filmmaking, and AI Automations are sold separately with their own contracts and pricing

10. Termination

10.1 By You

  • You may cancel at any time by emailing hello@talcai.io
  • Cancellations are effective at the end of your current billing period (no mid-month refunds)
  • Upon cancellation, we cease producing new content but retain your account data for 12 months per privacy law

10.2 By TALC AI

  • We may terminate your service if you breach this agreement materially (non-payment, unauthorized account access, etc.)
  • We will provide 7 days' written notice unless the breach is severe
  • Upon termination, your AI clone data is deleted per our Privacy Policy

10.3 Effect of Termination

  • All rights to use TALC AI services cease immediately
  • You retain ownership of your social accounts and any content we produced
  • You are responsible for managing your accounts independently after termination
  • Outstanding payments remain due

11. Confidentiality

Both parties agree to keep confidential:

  • Strategic direction and messaging frameworks discussed in sessions
  • Performance metrics and analytics data shared during reviews
  • Any proprietary methods or tools we use

Public testimonials, case studies, or public announcements require written consent.

12. Indemnification

You indemnify, defend, and hold harmless TALC AI from:

  • Claims arising from your content (copyright infringement, defamation, etc.)
  • Your use of our services in violation of law or third-party rights
  • Claims related to your social accounts, followers, or audience
  • Liability for the AI clones' outputs (see Section 8)

13. Limitation of Liability

TALC AI's maximum liability to you is limited to the amount you paid in the preceding 12 months or AED 500, whichever is greater.

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, followers, or business opportunity
  • Damages resulting from platform algorithm changes, account suspensions, or third-party actions
  • AI model errors or unexpected outputs (see Section 8.1)

14. Disclaimers

AS-IS SERVICE: The Services are provided "as-is" without warranty. We do not warrant that services will be uninterrupted, error-free, or suitable for your specific needs.

NO GUARANTEE OF RESULTS: We do not guarantee follower growth, engagement, lead generation, or any specific business outcome.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Dubai, UAE (excluding conflicts of law principles).

15.2 Dispute Resolution

  • First, both parties will attempt good-faith negotiation
  • If unresolved within 30 days, disputes are submitted to the Dubai International Arbitration Centre (DIAC) under UNCITRAL rules
  • Arbitration is conducted in English; costs are split equally unless the arbitrator awards costs to the prevailing party

16. Amendments

We may update these Terms at any time. Changes are effective 14 days after posting. Your continued use of the Services constitutes acceptance of the updated Terms.
